Terms of Service

Please read these Terms of Service carefully before using the FastClip application. By accessing or using FastClip, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using FastClip ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms apply to all users of the Service, including visitors, registered users, beta testers, and premium subscribers.

2. Description of Service

FastClip is a web and mobile application that transforms source videos, podcasts, interviews, and other media into edited short clips using automation and AI technology. The Service includes:

  • Source import from supported URLs and direct video upload
  • AI-powered title, caption, description, and source metadata generation based on your media and descriptions
  • Speech-to-text transcription, word timing, and automatic caption/subtitle generation
  • Clip creation, trimming, rendering, thumbnails, and release preparation
  • Publishing templates and source-citation formatting
  • Connected publishing to supported platforms such as X and Instagram
  • Cloud storage for your sources, projects, draft clips, release clips, transcripts, captions, and generated videos
  • Beta/TestFlight builds and related testing workflows

3. User Accounts

3.1 Account Creation

To use FastClip, you must create an account using a supported sign-in method such as Google. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Promptly update your account information if it changes
  • Accept responsibility for all activities under your account
  • Not share your account with others

3.2 Account Termination

We reserve the right to suspend or terminate accounts that:

  • Violate these Terms
  • Engage in abusive, harmful, or fraudulent behavior
  • Use the Service for illegal purposes
  • Attempt to circumvent usage limits or security measures
  • Create risk for FastClip, users, connected platforms, or service providers

4. User Content

4.1 Your Rights

You retain all ownership rights to the content you upload to FastClip, including videos, audio, source URLs, captions, transcripts, templates, and related metadata. By uploading content, you grant us a limited license to:

  • Process your content to provide the Service
  • Store your content on our servers and third-party cloud providers
  • Create derivative works (draft clips, release clips, transcripts, captions, titles, descriptions, thumbnails, and rendered videos) as directed by you
  • Display your content within the app as part of your projects
  • Publish content to connected platforms when you direct FastClip to do so

License Duration

This license ends when you delete your content or close your account, except where continued retention is needed for backup, security, billing, legal, dispute-resolution, abuse-prevention, or compliance purposes.

4.2 Content Ownership of Generated Works

You own the final videos generated by FastClip using your content and inputs. You may use, share, and monetize these videos as you see fit, subject to any applicable third-party rights, platform rules, and laws.

4.3 Content Guidelines

You agree not to upload or use the Service to create content that:

  • Violates any laws or regulations
  • Infringes on intellectual property rights of others
  • Contains harmful, abusive, hateful, or discriminatory material
  • Includes sexually explicit or pornographic content
  • Promotes violence or illegal activities
  • Violates the privacy or rights of others
  • Contains malware or harmful code
  • Impersonates others in a misleading or harmful way
  • Violates the rules of any connected platform where you publish or intend to publish

4.4 Publishing and AI Output Responsibility

If you generate or publish content using FastClip, you:

  • Warrant that you have the right to use, transform, clip, caption, and publish the source media and generated output
  • Will review AI-generated titles, captions, transcripts, descriptions, and source metadata before sharing or publishing
  • Will not use generated content to deceive, defraud, impersonate, or harm others
  • Accept full responsibility for how you use generated clips, captions, descriptions, and posts

5. Subscriptions and Payments

5.1 Free Tier

FastClip may offer a limited free tier with a set number of imports, generated clips, releases, AI credits, or published posts. Once you reach the limit, you may need to subscribe, upgrade, wait for a reset, or purchase additional usage if available.

5.2 Premium Subscriptions

Premium subscriptions may be available through Stripe checkout. By subscribing, you agree to:

  • Pay the subscription fee at the beginning of each billing period
  • Automatic renewal unless you cancel before the renewal date
  • The subscription terms presented at checkout and in the billing portal

5.3 Credit Purchases

FastClip may offer additional credits or usage packs. Credits and usage packs are non-refundable once used, unless otherwise required by law or stated at checkout.

5.4 Refunds

Subscription and credit purchases are processed through Stripe or another payment provider and are subject to the refund policy presented at checkout and any mandatory legal rights that apply to you.

5.5 Promo Codes

Promo codes are subject to their specific terms and conditions, including expiration dates and usage limits. Promo codes cannot be combined and have no cash value.

6. Intellectual Property

The FastClip application, including its design, features, technology, and branding, is owned by Quasa LLC and protected by intellectual property laws. You may not:

  • Copy, modify, or distribute the application
  • Reverse engineer or decompile the application
  • Use our trademarks without permission
  • Create derivative works based on our application

7. Prohibited Uses

You may not use FastClip to:

  • Violate any laws or regulations
  • Generate spam, unsolicited content, or malware
  • Harass, abuse, stalk, or harm others
  • Engage in unauthorized data collection or scraping
  • Interfere with the Service's operation or security
  • Attempt to gain unauthorized access to systems or accounts
  • Use automation or bots without authorization
  • Resell or redistribute the Service
  • Circumvent usage limits or payment requirements
  • Publish content to X, Instagram, or any other platform in violation of that platform's rules

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted or error-free
  • AI-generated content will be accurate, appropriate, or free from errors
  • Transcripts, captions, and source metadata will be accurate or complete
  • Connected-platform publishing will always be available, accepted, or successful
  • The Service will meet your specific requirements
  • Your content will be preserved indefinitely

AI Review Requirement

You are responsible for reviewing AI-generated content before sharing or publishing.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUASA LLC SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, or business opportunities
  • Damages resulting from your use or inability to use the Service
  • Content generated by AI that you choose to publish or share
  • Platform enforcement, account restrictions, removed posts, rejected uploads, or third-party service failures

Liability Cap

Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Quasa LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you upload or generate using the Service
  • Content you publish or attempt to publish through connected platforms

11. Modifications to Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may also update features, pricing, and usage limits. Continued use of the Service after changes constitutes acceptance of the modified terms.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms in the app and updating the "Last updated" date. Your continued use after changes indicates acceptance.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

14. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes will be settled through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Wyoming.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FastClip regarding the use of the Service, superseding any prior agreements.
